Last updated: 14 October 2026. These Terms replace all previous versions.
Please read these Terms carefully before placing an order. In short: Well & Trees is a company, not a charity. When you order a well or trees, you buy a service: we arrange, through our local partners, the construction of a water well or the planting of trees in a community in need, and we send you proof (GPS coordinates, photos and videos, your name or a loved one’s name on the plaque). The price you pay includes our service commission. Your payment is not a donation and is not tax-deductible.
1. Who we are
This Website, wellandtrees.com, is operated by Well&trees Development LLC (“Well & Trees”, “we”, “us”, “our”), a limited liability company organised under the laws of the State of New Mexico, United States of America (New Mexico Secretary of State business ID 3251318), whose principal place of business is 1209 Mountain Road Pl NE, Ste N, Albuquerque, NM 87110, United States. Email: contact@wellandtrees.com.
Well & Trees was created by the founders of Well Solidarity, a French company. Our projects are carried out in the field by local partner organisations and contractors selected and supervised by us.
2. These Terms
These Terms and Conditions of Sale (“Terms”) govern every order placed on the Website by you (“you”, “the Customer”). By ticking the box “I have read and agree to the Terms and Conditions of Sale” and confirming your order, you accept these Terms without reservation. The Terms applicable to an order are those in force on the date of payment. We may update these Terms at any time by publishing a new version on the Website; the new version applies to orders placed after its publication.
You must be at least 18 years old and legally able to enter into a contract to place an order. If you order on behalf of a company or other organisation, you confirm that you are authorised to bind it.
Together with our Privacy Policy, Refund and Cancellation Policy, Cookie Policy and Legal Notice, these Terms form the entire agreement between you and us.
3. Our services
We sell services, not physical goods. Depending on the product you choose, the service consists of:
- Water wells (simple well, classic well, well with seating, community well): the construction, through our local partners, of a water well in a village or community in need, in the country indicated on the product page or chosen in the order form, together with a plaque bearing the name you provide (your name, the name of a loved one, or a dedication).
- Trees (individual trees, special occasion tree, forest): the planting of the number of trees you order, through our local partners, in a reforestation or agroforestry area.
- Certificates and other options as described on the relevant product page.
For each well, we send you by email the GPS coordinates of the well and photos and videos of the completed well with its plaque. For trees, we send you photos of the planting with the plaque bearing the name you provide. These items are delivered digitally; nothing is shipped by post unless the product page says otherwise.
The Customer does not acquire any ownership right over the well, the land, the water or the trees: these belong to the beneficiary community or the landowner. The Customer purchases the service of having the project carried out and documented.
4. Not a charity – no tax deduction
Well & Trees is a for-profit company. It is not a registered charity in the United Kingdom, the United States or anywhere else, and it is not a 501(c)(3) organisation. Your payment is the price of a service, not a donation. It is not eligible for Gift Aid, for a US charitable contribution deduction or for any other tax relief, and we do not issue donation receipts. If you wish to make a tax-deductible donation, please contact a registered charity.
In return for arranging and supervising the construction of wells and the planting of trees, Well & Trees retains a service commission included in the price you pay. This commission covers our operating costs (project management, field coordination, customer follow-up, marketing, payment fees) and our margin, and finances the development of new projects. It does not create any additional cost for you: it is included transparently in the price displayed when you order.
5. Prices and currency
Prices are displayed in pounds sterling (GBP) by default. You may choose to view and pay in US dollars (USD), Canadian dollars (CAD) or Australian dollars (AUD) using the currency selector; the amount shown in your chosen currency is the amount you will be charged. Your bank or payment provider may apply its own exchange rate or foreign transaction fees, which are outside our control.
The price shown on the product page and at checkout is the total price payable for the service: no taxes, delivery charges or other mandatory fees are added at checkout. Any telecommunication costs of accessing the Website are borne by you.
We may change our prices at any time for future orders. The price applicable to your order is the one displayed at the time you confirm it. In the event of an obvious pricing error (for example a price that is manifestly derisory), we may cancel the order and refund you in full.
6. Ordering
To place an order you must:
- select a product and, where applicable, its options (country, name to be written on the plaque, dedication, number of trees);
- provide your contact and billing details;
- check the content of your order and correct any errors;
- accept these Terms;
- pay.
The contract is formed when we send you the order confirmation email. We may refuse or cancel an order in case of suspected fraud, payment failure, a dispute with you concerning a previous order, or an error on the Website; in that case any amount already paid will be refunded.
Please check the name and dedication you enter carefully: the plaque is made from the text you provide. We will correct a spelling error free of charge if you tell us before the plaque has been produced; afterwards, a correction may not be possible or may require a new plaque at your cost.
7. Payment
Payment is made in full at the time of the order by credit or debit card (processed by Stripe), by PayPal, or by any other method offered at checkout. Your payment details are collected directly by the payment provider through a secure connection; we never see or store your full card number. The order will not be processed until payment has been received in full and authorised.
You confirm that you are authorised to use the payment method provided. Unjustified chargebacks after the service has been performed may be contested with the evidence of performance (photos, videos, GPS coordinates).
8. Performance of the service and timeframes
Projects are carried out through our local partners after we receive your order. Any timeframe indicated on the Website or communicated to you is an estimate given in good faith, not a guaranteed completion date. Actual timing depends on the country, the season (rainy seasons, religious holidays), the availability of local teams and equipment, administrative authorisations and the number of orders in progress. We keep you informed by email and send the proof of completion as soon as it is available.
If, for reasons outside our control (armed conflict, natural disaster, epidemic, closure of borders, administrative refusal, serious insecurity, or any other force majeure event), the project cannot be carried out in the planned location, we will offer you, at your choice, to have the project carried out in another location or country of equivalent cost, or a refund of the amount paid.
The location of the well or the planting site is chosen by us and our local partners according to the needs identified in the field. You may express a preference for a country where this option is offered on the product page, but the exact village or site is determined by us. We may group several orders of trees in the same planting area.
Wells are built to serve the beneficiary community. After construction, the maintenance and operation of the well are the responsibility of the community or local partner. We do not guarantee that a well will remain in operation for any particular period after completion, although our partners build wells intended to last.
9. Right to cancel and refunds
Our full policy is set out in the Refund and Cancellation Policy, which forms part of these Terms. In summary:
- You may cancel your order within 14 days of the order confirmation and receive a full refund, provided the construction or planting has not yet started.
- By placing an order you expressly ask us to start arranging the service during this 14-day period. If you cancel after work has started, we may deduct an amount proportionate to the service already performed and to the costs already committed with our local partners.
- Once the service has been fully performed (well completed or trees planted), the right to cancel is lost and no refund is due, except as provided in section 8 above or by mandatory law.
To cancel, email contact@wellandtrees.com with your order number, or use the model cancellation form in the Refund and Cancellation Policy. Refunds are made using the original payment method within 14 days of your cancellation.
If you are a consumer in the United Kingdom, these rights reflect the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. If you are a consumer in the European Union, they reflect Directive 2011/83/EU. We apply the same 14-day policy to all our customers, including in the United States, Canada and Australia, where no such statutory cooling-off period may exist.
10. Our commitments and your legal rights
We undertake to perform the service with reasonable care and skill, in accordance with the description given on the Website and these Terms. If you are a consumer in the United Kingdom, the Consumer Rights Act 2015 gives you legal rights in relation to services that are not performed with reasonable care and skill or that do not match the description: you may ask us to repeat the performance or, where that is not possible, to reduce the price. Nothing in these Terms affects these statutory rights or the equivalent rights of consumers in the European Union, Canada or Australia.
If you are not satisfied with the service, please contact us first at contact@wellandtrees.com: we will do our best to find a solution.
11. Liability
We are responsible for loss or damage you suffer that is a foreseeable result of our breach of these Terms or of our failure to use reasonable care and skill. We are not responsible for loss or damage that is not foreseeable, nor for business losses if you are a consumer.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law (including under the Consumer Rights Act 2015 in the United Kingdom).
Subject to the above, our total liability to you in connection with an order shall not exceed the amount you paid for that order.
To the fullest extent permitted by law, we are not liable for the acts or omissions of the beneficiary community or of third parties outside our control after the service has been performed, nor for interruptions of the Website or for losses caused by events outside our reasonable control.
If you are a consumer in the United States, the following applies in addition: EXCEPT AS EXPRESSLY STATED IN THESE TERMS AND TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE; WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES. Some states do not allow the exclusion of implied warranties or the limitation of certain damages, so some of these limitations may not apply to you.
12. Personal data
We process your personal data in accordance with our Privacy Policy. The name and dedication you provide for the plaque will be written on the plaque and appear in the photos and videos of the well, which we send to you. We may also use photos and videos of completed projects (which may show the plaque) in our communications and advertising, unless you tell us in writing that you object before the project is completed.
13. Intellectual property
All content of the Website is protected by intellectual property rights as described in the Legal Notice. The photos and videos we send you may be shared by you for personal, non-commercial purposes (for example with family and friends or on your personal social media), with credit to Well & Trees. Any other use requires our prior written consent.
14. Evidence and records
Unless proven otherwise, the data recorded in our information systems constitutes evidence of the orders placed and the communications exchanged. Order confirmations and these Terms are sent to you by email and archived by us; you should keep a copy.
15. Governing law and disputes
These Terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
If you are a consumer resident in the United Kingdom, the European Union, Canada or Australia, you additionally benefit from the mandatory consumer protection provisions of the law of the country in which you live, and nothing in this section deprives you of that protection. You may bring a claim against us in the courts of your country of residence; if you live in England, Wales, Scotland or Northern Ireland, you may bring a claim in the courts of that part of the United Kingdom.
Before any court action, we invite you to contact us at contact@wellandtrees.com so that we can try to resolve the dispute amicably. Consumers in the European Union may also use the European Commission’s online dispute resolution platform at ec.europa.eu/consumers/odr. We are not currently a member of an alternative dispute resolution scheme in the United Kingdom.
16. General
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in force. Our failure to enforce a provision does not constitute a waiver. We may transfer our rights and obligations under these Terms to another company (for example in the event of a reorganisation of the Well Solidarity group); we will tell you in writing and your rights will not be affected. You may not transfer your order to anyone else without our written consent. These Terms are written in English; any translation is provided for convenience only.
